Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Gremlinq.Extensions delivery services ("Services") provided by Daniel Weber ("We", "Us", or "Our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Definitions
- Services: The NuGet package delivery infrastructure, license key management, and access mechanisms provided by Us for delivering Gremlinq.Extensions software to You.
- Software: The Gremlinq.Extensions products (Diagnostics, Support.SystemTextJson, Strategies, GroovyScripts) and any related packages, which are licensed separately under their respective End-User License Agreements (EULAs).
- License Key: A unique token provided to You that enables access to our private NuGet feed for downloading the Software.
- Developer Seat: A license metric representing one developer at a time who may use the Software. License Keys may be transferred between developers within Your organization, provided the total number of concurrent users does not exceed the number of Developer Seats licensed.
2. Relationship to Software EULAs
The Software is licensed under separate End-User License Agreements (EULAs) for each product:
- Gremlinq.Extensions.Diagnostics EULA
- Gremlinq.Extensions.Support.SystemTextJson EULA
- Gremlinq.Extensions.Strategies EULA
- Gremlinq.Extensions.GroovyScripts EULA
These Terms govern only the Services. The EULAs govern the Software. By using our Services to access the Software, you agree to be bound by both these Terms and the applicable EULAs.
3. Scope and Applicability
These Terms apply to all business customers ("You", "Your") using our Services to access Gremlinq.Extensions Software.
This is a B2B-only offering. Our Services are available exclusively to business entities for commercial use. Consumer transactions are not supported.
4. Access to Services
Subject to payment of applicable fees and compliance with these Terms:
- We will provide You with access to our private NuGet feed
- We will issue License Keys for the number of Developer Seats purchased
- We will maintain the infrastructure necessary for You to download the Software
5. Subscription Terms
The Services are provided on a subscription basis with the following terms:
- Subscriptions automatically renew on a yearly basis unless cancelled
- You will be charged the same fee as Your initial purchase for each renewal
- We will provide reasonable notice before charging Your payment method for renewal
- You may cancel Your subscription at any time through:
- The self-service cancellation links provided by Stripe in Your subscription confirmation email and customer portal
- By writing to info@danielcweber.net and providing Your subscription ID along with a valid email address associated with the subscription
- You may adjust the number of Developer Seats by writing to info@danielcweber.net. Increases take effect immediately and are charged at the then-current price per seat. Decreases take effect at the start of the next subscription period (yearly).
- Upon cancellation, Your subscription will remain active until the end of the current billing period
- No refunds will be provided for partial or unused subscription periods
- Perpetual License: Even after Your subscription ends, You retain indefinite access to all Software versions released during Your active subscription period
6. License Key Management
- License Keys are bound to the number of Developer Seats specified in Your subscription
- License Keys remain valid indefinitely for accessing Software versions released during Your active subscription period, even after Your subscription ends
- License Keys may be used on an unlimited number of Build Servers
- You must protect License Keys and ensure they are not leaked into the public domain
- You must not submit License Keys to any public source control systems (e.g., GitHub, GitLab, Azure DevOps)
- License Keys should be stored securely and only accessible by authorized personnel
- If a leaked License Key surfaces in public, we may revoke it and issue a replacement at Our discretion
- You must not distribute, sell, or transfer License Keys to any third party
7. Availability and Maintenance
- We will use reasonable efforts to maintain the availability of the Services
- We may perform maintenance, updates, or upgrades to the Services with reasonable notice
- We do not guarantee uninterrupted or error-free access to the Services
- Scheduled downtime for maintenance will be communicated in advance when possible
8. Your Obligations
You agree to:
- Use the Services only for lawful purposes and in accordance with these Terms
- Ensure that all users within Your organization comply with these Terms
- Promptly report any suspected unauthorized access or use of Your License Keys
- Cooperate with Us in any investigation of suspected misuse
9. Limitations of Liability
In no event shall We be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Services, including but not limited to:
- Loss of profits
- Loss of revenue
- Loss of data
- Business interruption
Our total aggregate liability arising from or related to these Terms shall not exceed the amounts paid by You for the Services in the twelve (12) months preceding the event giving rise to the claim.
10. Warranty Disclaimers
The Services are provided "as is" and "as available" without warranty of any kind.
We disclaim all warranties, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
These Terms are effective until terminated. Your rights under these Terms will terminate automatically without notice if You fail to comply with any term of these Terms.
Upon termination:
- We may immediately suspend or revoke Your access to the Services
- You must cease all use of the Services
- Any fees paid are non-refundable
We may also terminate or suspend Your access to the Services at any time, with or without cause, upon written notice to You.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Germany.
Any disputes arising out of or relating to these Terms shall be resolved exclusively in the courts of Germany. Both parties submit to the jurisdiction of these courts.
13. Miscellaneous
- Assignment: You may not assign these Terms or any rights hereunder without Our prior written consent. We may assign these Terms without Your consent.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- Force Majeure: We shall not be liable for any failure to perform Our obligations under these Terms due to causes beyond Our reasonable control.
- Entire Agreement: These Terms constitute the entire agreement between the parties with respect to the Services.
- Privacy Policy: Our handling of personal data is governed by Our Privacy Policy.
